VERDE ORGANIC BODY POLICIES, TERMS, LIABILITY WAIVER, AND PARTICIPATION AGREEMENT
Verde Organic Body, LLC, including its owners, members, managers, directors, officers, employees, instructors, therapists, trainers, agents, affiliates, contractors, and any individuals or entities acting on its behalf, are hereafter collectively referred to as the “Wellness Practice.”
By signing this Agreement, I acknowledge and affirm that I am voluntarily participating in services, programs, classes, recovery modalities, and use of facilities provided by the Wellness Practice, including but not limited to personal training, open gym, group classes, yoga, massage therapy, infrared sauna, cold plunge, and recovery lounge services.
I affirm that I am in good physical condition and capable of participating in these activities. I acknowledge that I have fully and accurately disclosed all relevant medical information, including but not limited to injuries, conditions, diagnoses, medications, allergies, contraindications, physical limitations, medical circumstances, or any other health-related concerns that may impact my participation in the facility, services, or care provided by any Wellness Practice provider. I understand that failure to disclose such information may increase my risk of injury, illness, or adverse outcome, and I agree that the Wellness Practice shall not be held liable for any injury, illness, reaction, aggravation, or other adverse outcome resulting from undisclosed, incomplete, or inaccurate information.
I acknowledge that I am solely responsible for monitoring my physical condition and determining whether to participate in any activity, service, or use of the facility. I understand that I may decline or stop participation at any time.
In the event of a medical emergency, I authorize the Wellness Practice to contact emergency medical services, call 911, request ambulance or aid response, and share any relevant health information I have provided with emergency responders or medical personnel as deemed necessary.
I agree to abide by all policies, procedures, rules, guidelines, and operational decisions established by the Wellness Practice.
I understand that failure to adhere to these policies may result in refusal of service, suspension of booking privileges, termination of services, appointments, packages, memberships, or account access, without refund or reimbursement. I further authorize the Wellness Practice to charge any applicable fees to my card on file, including but not limited to late cancellation fees, no-show fees, missed appointment charges, early termination fees, promotional non-fulfillment fees, facility misuse fees, cleaning fees, damage fees, administrative fees, and any other charges resulting from policy violations or failure to comply with the terms of this Agreement, as determined by the Wellness Practice.
WAIVER OF LIABILITY AND ASSUMPTION OF RISK
I understand that participation in fitness training, massage therapy, yoga, bodywork, recovery services, open gym use, group class participation, infrared sauna use, cold plunge use, and use of wellness facilities involves inherent risks, including but not limited to physical injury, muscle strain, joint injury, falls, slips, cardiovascular events, overheating, dehydration, cold exposure reactions, aggravation of pre-existing conditions, equipment-related injury, allergic reaction, illness, property damage, and in rare circumstances, death.
I voluntarily and knowingly assume full responsibility for all risks associated with my participation in Wellness Practice services, activities, and facility use.
To the fullest extent permitted by the laws of the State of Washington, I hereby release, waive, discharge, and covenant not to sue the Wellness Practice from any and all present or future claims, demands, liabilities, damages, actions, causes of action, costs, or expenses of any kind, whether known or unknown, arising out of or related to my participation in services, use of equipment, use of the facility, receipt of care, or presence on the premises, including claims arising from the negligence of the Wellness Practice.
I further agree to indemnify, defend, and hold harmless the Wellness Practice from and against any and all claims, liabilities, damages, losses, costs, and expenses, including attorneys’ fees, arising from or related to my participation, conduct, use of services, use of the facility, or breach of this Agreement, including claims brought by family members, heirs, assigns, session share participants, minors, or other third parties associated with my account or participation.
I acknowledge that the Wellness Practice is not responsible for loss, theft, or damage of personal property while on the premises, in the parking areas, or in any area associated with Wellness Practice operations.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by the laws of the State of Washington, and venue for any legal proceeding shall be in King County, Washington.
By signing this Agreement, I acknowledge that I have read it, understand it, and voluntarily agree to its terms, and that I am waiving certain legal rights.
GENERAL STUDIO POLICIES AND PARTICIPATION REQUIREMENTS
All services are by appointment only. Walk-in availability is not guaranteed.
All clients are required to maintain a valid VERDE client account and a valid credit or debit card on file in order to reserve, schedule, participate in, or receive services. Gift cards do not replace the requirement of a valid credit or debit card on file and may not be applied to promotional offers, discounted services, or promotional pricing structures.
All required documentation, including health history intake forms, liability waivers, policy agreements, medical consent forms when applicable, minor participation forms when applicable, and any other required documentation, must be completed prior to participation or receipt of services. Failure to complete required forms may result in refusal of service, cancellation of participation, and financial responsibility for the full reserved session or service.
Clients are responsible for providing accurate, current, and complete contact information, medical disclosures, account details, and participation information. The Wellness Practice is not responsible for missed communications, missed appointment notifications, billing disputes, or account issues resulting from incomplete, inaccurate, or outdated information provided by the client.
Clients are responsible for disclosing all relevant medical conditions, injuries, allergies, medications, contraindications, physical limitations, and other pertinent health information to the Wellness Practice prior to participation.
All sales are final and non-refundable unless otherwise expressly stated by the Wellness Practice in writing.
The Wellness Practice reserves the right to modify, update, interpret, or enforce policies at any time in its sole discretion.
SERVICE PROVIDER STRUCTURE AND CONTINUITY OF CARE
The Wellness Practice operates under a unified service model in which all trainers, therapists, instructors, and staff are trained within the Wellness Practice’s methods, standards, systems, service approach, and brand techniques.
While individual service providers may have unique styles, personalities, communication approaches, and areas of focus, all providers operate within the same system, utilize shared client progress notes and internal records, and are trained to deliver a consistent level and quality of service aligned with the Wellness Practice’s standards and approach.
This structure is designed to support continuity of care, ease of scheduling, ease of rescheduling in advance, consistent client experience, provider interchangeability, and service continuity when a provider is unavailable, out of office, or otherwise unable to fulfill a scheduled appointment.
By participating in services, I acknowledge and agree that I may work with any available qualified service provider and that services are not guaranteed to be performed by a specific individual provider.
I further acknowledge that, in order to support continuity of care and scheduling efficiency, provider substitutions may occur. Personal Training sessions may be reassigned to another qualified trainer without prior notice in the event of provider unavailability. Massage Therapy sessions may be reassigned or shifted when a provider is unavailable, and the Wellness Practice will make reasonable efforts to notify clients in advance when possible.
I acknowledge that all service providers are qualified and capable of delivering services within the Wellness Practice’s offerings and that the Wellness Practice is not liable for client preferences related to a particular provider’s style, personality, availability, or individual approach so long as the services rendered fall within the Wellness Practice’s general service model, service approach, and brand techniques.
FACILITY USE, MISUSE, AND DAMAGE POLICY
By entering and using the Wellness Practice’s premises, facilities, equipment, recovery areas, locker areas, and related amenities, I agree to use all spaces, equipment, and services safely, respectfully, and in accordance with all posted rules, staff direction, and Wellness Practice policies.
I understand that facility misuse includes, but is not limited to, failure to clean or reset equipment after use, failure to put equipment away properly, failure to clean or maintain recovery lounge spaces after use, leaving towels, personal items, trash, or belongings unattended, creating unsanitary conditions, misuse of equipment, disregard of staff instruction, unauthorized use of the facility, allowing unauthorized persons access to the facility or services, abuse of booking privileges, or leaving any area of the Wellness Practice in a condition that does not align with studio standards.
I acknowledge that maintaining a clean, safe, respectful, and functional environment is a shared responsibility and a required condition of participation.
A facility misuse fee of thirty-nine dollars ($39) will be automatically charged to the card on file for any instance of misuse, including but not limited to failure to clean recovery lounge spaces, failure to reset or put equipment away, or leaving any area in disarray. This fee may be applied without prior notice.
Repeated incidents of facility misuse, policy violations, or disregard for studio standards may result in suspension of booking privileges, restriction from certain services or facility areas, inability to book the service again, termination of services, or termination of membership without refund.
For any session share arrangement, minor participation, prepaid relationship, or use of services connected to my account, I acknowledge that the primary account holder or responsible party remains fully financially responsible for any misuse, damages, fees, violations, or charges incurred by the individual using the service, session, package, membership, or prepaid associated with that account. All applicable fees will be automatically charged to the card on file associated with the responsible account.
The Wellness Practice reserves the right, in its sole discretion, to determine the nature of misuse, apply fees, and enforce corrective actions necessary to maintain the integrity, cleanliness, safety, and operating standards of the facility.
CANCELLATION, NO-SHOW, AND CHARGE AUTHORIZATION POLICY
All appointments and reserved services require a minimum of twenty-four (24) hours’ notice for cancellation or rescheduling unless otherwise stated by the Wellness Practice. Cancellations must be made through a method that creates a verifiable timestamp, including online booking systems, written communication, or phone communication documented by the Wellness Practice.
Failure to cancel within the required timeframe may result in forfeiture of the prepaid session, a full-service charge, or other fee as determined by the Wellness Practice.
No-shows are defined as failure to notify the studio prior to the scheduled appointment start time and will result in automatic forfeiture of the session or automatic full-service charge.
All applicable fees, charges, forfeitures, adjustments, penalties, and policy-related charges are authorized to be automatically charged to the card on file.
SERVICE-SPECIFIC POLICIES
MASSAGE THERAPY
All Massage Therapy sessions must be scheduled in advance. Walk-in appointments are not guaranteed.
Massage Therapy appointments are subject to a twenty-four (24) hour cancellation policy. Cancellations must be made with a verifiable timestamp by approved booking, written, or phone communication methods. Failure to cancel within this timeframe may result in forfeiture of the prepaid session, a full-service charge, or another fee as determined by the Wellness Practice.
No-shows, defined as failure to notify the studio prior to the scheduled appointment start time, will result in automatic forfeiture or automatic full-service charge.
Massage memberships are charged in accordance with the selected membership agreement. Massage membership sessions expire sixty (60) days after the final payment date following cancellation of the membership.
Massage single sessions, prepaid sessions, and applicable packages remain subject to the terms communicated at purchase and any scheduling, cancellation, or session share rules that apply to that purchase structure.
RECOVERY LOUNGE: INFRARED SAUNA AND COLD PLUNGE
All Recovery Lounge sessions, including infrared sauna and cold plunge sessions, must be scheduled in advance. Walk-in availability is not guaranteed.
Recovery Lounge sessions are subject to a twenty-four (24) hour cancellation policy. Failure to cancel within the required timeframe may result in forfeiture of the prepaid session, a full-service charge, or another fee as determined by the Wellness Practice.
No-shows will result in automatic forfeiture or automatic charge.
Recovery Lounge memberships and session structures are subject to the terms communicated at purchase. Recovery Lounge membership sessions expire thirty (30) days after the final payment date following cancellation of the membership.
Clients are responsible for monitoring their own tolerance, limitations, and health status in connection with heat exposure, cold exposure, and recovery lounge use.
Failure to clean, reset, or properly maintain the Recovery Lounge space after use may result in facility misuse fees and restriction from future booking privileges.
PERSONAL TRAINING
All Personal Training sessions must be scheduled in advance. Personal Training is provided in a semi-private two-to-one (2:1) format unless otherwise specified by the Wellness Practice.
Personal Training appointments are subject to a twenty-four (24) hour cancellation policy. Failure to cancel within this timeframe may result in forfeiture of the prepaid session, a full-service charge, or other fee as determined by the Wellness Practice.
No-shows, defined as failure to notify the studio prior to the scheduled appointment start time, will result in automatic forfeiture or automatic full-service charge.
A one-time late cancel reschedule may be permitted if the session is rescheduled within ten (10) days of the original appointment date and completed with the originally scheduled trainer. Late cancel reschedules are limited to one occurrence and may not be rescheduled again. If the session is not rescheduled and completed within the permitted ten (10) day window, the session will be forfeited or charged.
Personal Training membership prepaid sessions, associated with an active auto-pay or recurring membership structure, are the only Personal Training sessions subject to a sixty (60) day usage structure and expiration period. These membership sessions are designed to be used within sixty (60) days of purchase. Any unused Personal Training membership prepaid sessions beyond sixty (60) days will become inactive. Upon cancellation of a Personal Training membership, all remaining
Personal Training membership prepaid sessions expire sixty (60) days after the final payment date.
Personal Training memberships are billed according to the selected recurring agreement and are structured in four (4) week billing cycles. Clients are responsible for purchasing and completing any additional sessions required in extended calendar months exceeding four weeks. These additional sessions are required and may not be omitted from the program structure.
Personal Training membership cancellations require a minimum of thirty (30) days written notice submitted through the Wellness Practice’s designated cancellation form.
Early termination of a Personal Training membership prior to completion of the contracted term may result in an early termination fee. Such fee may include twenty percent (20%) of the remaining contract balance, as well as reconciliation of all sessions utilized within the current contract billing cycle and prior billing cycles at the non-member or drop-in rate. The client shall be responsible for paying the difference between the member rate and the standard rate for all sessions previously charged, whether completed, reserved, or incomplete.
Personal Training single sessions and package sessions expire twelve (12) months from the date of purchase. Once scheduled, Personal Training single sessions and package sessions are not intended to be rescheduled beyond sixty (60) days from the original scheduled date. Sessions that are rescheduled more than two (2) times within sixty (60) days of the original scheduled date may be subject to forfeiture, fees, or automatic charges at the discretion of the Wellness Practice.
The Wellness Practice does not guarantee availability for rescheduled Personal Training sessions.
OPEN GYM
All Open Gym sessions must be scheduled in advance. Walk-in access is not guaranteed unless expressly permitted by the Wellness Practice.
Open Gym sessions are subject to a twenty-four (24) hour cancellation policy. Failure to cancel within the required timeframe may result in forfeiture of the prepaid session, a full-service charge, or another fee as determined by the Wellness Practice.
No-shows will result in automatic forfeiture or automatic charge.
Clients are responsible for using equipment safely, returning equipment to its proper place, cleaning up after use, and following all staff direction and posted rules. Failure to do so may result in facility misuse fees, restriction from future booking, or termination of booking privileges.
GROUP CLASSES, INCLUDING YOGA AND TRAINING CLASSES
All class sessions must be scheduled in advance.
Group classes, including yoga classes and training classes, are subject to a twenty-four (24) hour cancellation policy. Failure to cancel within the required timeframe may result in forfeiture of the prepaid session, a full-service charge, or another fee as determined by the Wellness Practice.
No-shows will result in automatic forfeiture or automatic charge.
Clients must arrive on time. Late arrivals may be denied entry at the discretion of the Wellness Practice and will forfeit the session without refund or reimbursement.
